MEMBERSHIP AGREEMENT
ARTICLE 1 — PARTIES
This Paribu Pass Membership Agreement (hereinafter the "Agreement") is entered into between Paribu Biletleme Teknolojileri Anonim Şirketi (hereinafter "Paribu Pass") and the individual that created an account on the Platform (hereinafter the "Member").
Each of Paribu Pass and the Member is referred to individually as a "Party" and collectively as the "Parties".
All agreements, policies, rules, and other forms published on Paribu Pass form an integral part of this Agreement. For the avoidance of doubt, every Member also holds the status of Userand is subject to all terms applicable to Users.
ARTICLE 2 — SUBJECT MATTER
This Agreement governs the rights and obligations of the Parties in connection with all transactions carried out by the Member through pass.paribu.com and the Paribu Pass mobile application (collectively, the "Platform").
ARTICLE 3 — DEFINITIONS
Event | Any cultural, artistic or sport activity listed for sale on the Platform, including but not limited to performing arts, concerts, entertainment and showcase events, educational events, competitions, races, performances, cinema screenings, theatrical productions, operas, workshops, exhibitions, and festivals. |
Website | The online electronic commerce platform accessible at pass.paribu.com. |
Mobile Application | The mobile application operating under the name "Paribu Pass". |
Platform | The Website and the Mobile Application, collectively. |
Organizer | Any third party responsible for organizing an Event listed on the Platform. |
Member | Any person who has completed the registration process and created an account on the Platform. |
ARTICLE 4 — MEMBERSHIP TERMS AND CONDITIONS
4.1 The Member agrees to comply with all applicable laws and regulations while using the Platform.
4.2 To register as a Member, the Member must: (i) provide all information requested during registration; (ii) read and accept this Agreement together with the Personal Data Protection Disclosure Notice and Consent Form; and (iii) receive approval of the Member's registration from Paribu Pass.
4.3 The Member represents and warrants that all information and statements the Member provides to Paribu Pass are complete, accurate, and truthful.
4.4 The Member may register only one account per email address. If Paribu Pass receives multiple registration requests using the same email address, Paribu Pass reserves the right to decline those requests.
4.5 By accepting this Agreement, the Member confirms that the Member is at least 18 years of age and has full legal capacity to enter into binding agreements.
4.6 The Member is solely responsible for maintaining the security of the Member's account credentials. If any third party accesses the Member's account using the Member's email address, username, or password, the Member bears full responsibility for all transactions carried out through such access. Paribu Pass shall not be liable for any actions performed on the Platform through unauthorized use of the Member's credentials.
4.7 The Member is solely responsible for all activity that occurs under the Member's account. The Member acknowledges that any legal, criminal, or administrative liability arising from the Member's use of the Platform rests exclusively with the Member.
4.8 Paribu Pass may suspend or permanently terminate the Member's account, or restrict the Member's ability to make future purchases.
4.9 Paribu Pass may temporarily suspend or limit access to the Platform. Paribu Pass shall not be liable for any service interruptions caused by circumstances beyond its reasonable control.
4.10 By completing the registration process, the Member is deemed to have accepted all terms and conditions set out in this Agreement.
4.11 The Member may not use the Platform in any manner that violates public order, public morality, or applicable law, and the Member may not interfere with or disrupt the Platform. The Member shall be solely liable for any direct or indirect damages arising from such conduct.
ARTICLE 5 — TICKET SALES
5.1 Paribu Pass acts solely as an intermediary in the ticket sales process. Paribu Pass is not the owner, producer, presenter, or organizer of any Event listed on the Platform. Organizers are solely responsible for Event cancellations, postponements, content changes, and the determination of Event rules.
5.2 Paribu Pass is under no obligation to monitor the content of Events—whether for ticket sales, advertising, or marketing activities on Paribu Pass—nor to investigate whether there is any illegality regarding such content or related services. In this context, Paribu Pass shall not be held liable for any unlawful content published.
5.3 Tickets purchased through the Platform are the Member's property. The Member undertakes not to:
resell or market any ticket for commercial gain;
use any ticket as a prize, in a giveaway, sweepstakes, or promotional campaign;
engage in the scalping, brokering, or unauthorized secondary-market resale of any ticket;
facilitate unauthorized ticket sales through social media or any other online platform; or
acquire any ticket for any purpose other than personal, non-commercial attendance.
5.4 If Paribu Pass detects or reasonably suspects a violation of this Section, Paribu Pass reserves the right to cancel the relevant tickets, suspend or permanently deactivate the associated account, and/or restrict future ticket purchase privileges. The Member acknowledges that the Member shall have no claim against Paribu Pass for any losses, costs, or damages resulting from enforcement measures taken under this Section.
ARTICLE 6 — AMENDMENTS
6.1 Paribu Pass reserves the right to amend the provisions this Agreement, as well as any contracts, conditions, policies, rules, and other texts available on Paribu Pass, at any time and at its sole discretion.
6.2 Such amendments shall be published regularly on Paribu Pass and shall enter into force as of the date of their publication. Member who conduct transactions on Paribu Pass are deemed to have accepted in advance any and all amendments made to the provisions of this Agreement.
ARTICLE 7 — INTELLECTUAL PROPERTY
7.1 The Platform's infrastructure, software, and systems are the exclusive property of Paribu Pass. The Member may not reverse engineer, decompile, disassemble, copy, reproduce, modify, or create derivative works from any part of the Platform without Paribu Pass's prior written consent.
7.2 All trademarks, designs, logos, trade dress, slogans, and other content published on the Platform are the exclusive intellectual property of Paribu Pass and/or its affiliates, subsidiaries, and group companies.
7.3 The Member agrees not to use, distribute, or reproduce the "Paribu Pass" name, marks, logos, or any associated intellectual property without Paribu Pass's express prior written permission.
ARTICLE 8 — CONFIDENTIALITY
8.1 Paribu Biletleme undertakes to maintain the confidentiality of membership information and any confidential information shared by the Member within the framework of the ticket sales service; to implement reasonable technical and organizational security measures aimed at preventing unauthorized access, destruction, or loss; and to utilize such confidential information exclusively for the fulfillment of its obligations arising under this Agreement, while refraining from using said information for its own benefit or for the benefit of any third party.
8.2. In the event that disclosure is required by a competent court, governmental agency, administrative authority, and/or pursuant to applicable legal regulations, the sharing of confidential information to comply with an information request submitted by the relevant authority shall not be construed as a breach of the confidentiality provisions of this Agreement.
ARTICLE 9 — INDEMNIFICATION
9.1 The Member shall indemnify, Paribu Biletleme for any and all direct and indirect damages, as well as any third-party claims, arising from the unauthorized and/or unlawful use of the content on Paribu Pass by the Purchaser.
ARTICLE 10 — EVIDENCE
10.1 In the event of any disputes arising from this Agreement, all physical and electronic information and records of Paribu Biletleme shall be binding in accordance with Article 193 of the Code of Civil Procedure (HMK) and shall constitute conclusive evidence for the Parties.
ARTICLE 11 — GOVERNING LAW AND DISPUTE RESOLUTION
11.1 This Agreement is governed by and shall be construed in all respects in accordance with the laws of the Republic of Türkiye.
11.2 The Members may submit an applicaiton regarding any dispute to the Consumer Court or the Consumer Arbitration Committee; and for any disputes arising from the enforcement or interpretation of this Agreement, the Istanbul (Central) Courts and Execution Offices shall have jurisdiction.
ARTICLE 12 — ASSIGNMENT
12.1 The Member may not assign or transfer any of the Member's rights or obligations under this Agreement to any third party.
ARTICLE 13 — TERMINATION OF MEMBERSHIP
13.1 The Member may terminate the Member's membership at any time by contacting Paribu Pass Customer Support. Following receipt of the Member's termination request, the Member's account shall be permanently deactivated within ninety (90) days.
ARTICLE 14 — EFFECTIVE DATE AND ENTIRE AGREEMENT
This Agreement shall enter into force upon the Member's completion of the registration process on Paribu Pass and shall remain in effect for an indefinite period unless terminated in accordance with its terms.
By creating an account, the Member confirms that the Member has read, understood, and agreed to all 14 (fourteen) articles of this Agreement.
Note: This Agreement is governed by the laws of the Republic of Turkey. In the event of any conflict or discrepancy between this English translation and the Turkish original, the Turkish text shall prevail.
