TERMS AND CONDITIONS
INTRODUCTION
These Terms and Conditions set forth the rules and conditions governing the use of the website accessible at pass.paribu.com (the “Website”) and the Paribu Pass Mobile Application (the “Mobile Application”), collectively referred to as “Paribu Pass,” and accordingly regulate the rights and obligations of the parties.
Access to, use of, and all transactions performed on Paribu Pass by persons visiting Paribu Pass (“Users”) are subject to these Terms and Conditions.
Paribu Pass is intended for the personal use of Users and may not be subject to any unauthorized disposal. Users may follow events, access promotional information regarding events, and purchase tickets through Paribu Pass.
By accessing or using Paribu Pass, Users agree to be bound by the Terms and Conditions set forth below. By accepting the Terms and Conditions, each Visitor represents and warrants that they possess all legal permissions and requirements necessary to use Paribu Pass and to agree to these Terms and Conditions.
Paribu Biletleme Teknolojileri A.Ş. (“Paribu Biletleme”) reserves the right to modify, update, and renew the entire content of these Terms and Conditions at any time, unilaterally, and without prior notice. It is the responsibility of Users to monitor updates on Paribu Pass. The current Terms and Conditions shall become effective as of the moment they are published on Paribu Pass, and the use of Paribu Pass shall thereafter be subject to the updated Terms and Conditions. For this reason, Users are advised to review the Terms and Conditions regularly.
Paribu Biletleme may, at any time, modify or upgrade any part of the features or functionalities of Paribu Pass, or release a new version; and may at any time redefine, update, freely change, and/or remove the content available on Paribu Pass (including any works, information, visuals, materials, documents, designs, etc.). Unless otherwise expressly and separately stated by Paribu Biletleme, any new version of Paribu Pass shall be subject to these Terms and Conditions.
In the event that a Visitor violates these Terms and Conditions, Paribu Biletleme may terminate the said Visitor's use of Paribu Pass and/or initiate legal action or proceedings against the Visitor in case of any unlawfulness.
GENERAL TERMS
Paribu Biletleme shall not be held liable for any errors, system slowdowns, or the inability to use Paribu Pass arising from the devices and/or internet connections of the Users. Users acknowledge and agree that access to Paribu Pass may be temporarily suspended to implement improvements and other modifications.
Paribu Biletleme reserves the right to remove or modify any content on Paribu Pass at any time, at its sole discretion, and without stating any reason.
In the event that Users violate these Terms and Conditions or engage in conduct that may impede the operation of Paribu Pass (such as using or attempting to use software or engaging in activities that threaten the general security of Paribu Pass or hinder the operation of the software used, or accessing, deleting, or modifying information), or perform acts that infringe or risk infringing upon the rights of third parties, the Visitor’s use of Paribu Pass may be suspended temporarily or permanently. In such cases, the Visitor may not claim any damages or compensation from Paribu Biletleme.
It is strictly prohibited to use Paribu Pass or the content therein for any unlawful purposes, or to access, monitor, or copy it for commercial or non-commercial purposes using any automatic or manual mechanism, including but not limited to robots, spiders, web crawlers, automated programs, data crawling, data mining, and similar screen scraping software or systems.
Paribu Pass may contain links to third-party applications/websites; however, Paribu Biletleme is not responsible for any content of such applications/websites. Users may be required to review and approve the applicable terms of use when using said applications/websites. Furthermore, a link provided to any third-party application/website does not imply an endorsement by Paribu Biletleme of the applications/websites or the products and services mentioned therein.
TERMS AND CONDITIONS
Users are under an obligation to comply with all applicable legislation, as well as any announcements and notifications published by Paribu Pass. Any and all legal, criminal, and financial liability arising from usage in contravention of such notifications and laws shall be borne exclusively by the Users.
In fields designated for data entry on Paribu Pass, information must be submitted in a complete, accurate, and current manner. Under no circumstances shall Paribu Biletleme be held liable for any information provided by Users that is incomplete, inaccurate, or outdated. Within the scope of such data entry fields, Users shall not: (i) utilize personal data belonging to third parties without requisite authorization; or (ii) submit information that is offensive, defamatory, obscene, or otherwise unlawful. Paribu Biletleme reserves the right, at its sole discretion, to cancel or reject any Visitor information that it deems to be in violation of these Terms and Conditions, its internal policies, or applicable laws.
Users hereby represent, warrant, and undertake that in all transactions conducted via Paribu Pass, they shall adhere to these Terms and Conditions, any other provisions published on Paribu Pass from time to time, the law, public morality and decency, and the principle of good faith. Users further undertake not to engage in any conduct that may impede the operation of Paribu Pass by any means or perform acts that infringe or pose a risk of infringing upon the rights of third parties; otherwise, all judicial, administrative, legal, and criminal liabilities shall reside solely with the Visitor.
Users shall not utilize the IP addresses, email addresses, or other identifiers of third parties in the electronic environment, nor shall they access or utilize the data of other Users without express authorization. Any and all legal and criminal liability arising from such unauthorized use shall be the sole responsibility of the Visitor.
Users may access the content on Paribu Pass exclusively for personal use and solely for the purpose of obtaining information in compliance with these Terms and Conditions. Any access or use beyond this specified scope shall be deemed unlawful; all legal rights of Paribu Biletleme and other respective content owners are hereby reserved.
Users acknowledge and covenant that they remain solely liable for their use of the content on Paribu Pass and for the consequences of any decisions made based upon such content, and they shall refrain from directing any claim or liability against Paribu Biletleme or other third-party content owners.
Users hereby represent and warrant that they are of legal age, possess the legal capacity to enter into binding agreements under applicable legislation, and are competent to assume the responsibilities, obligations, confirmations, proxies, and guarantees specified in these Terms and Conditions, to be evaluated within the framework of these Terms and Conditions, and to comply with said provisions.
Paribu Biletleme provides no warranties or conditions, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability or fitness for a particular purpose, in connection with these Terms and Conditions. Paribu Biletleme does not warrant that Paribu Pass will be error-free or uninterrupted (including interruptions caused by cyberattacks, malicious code, or software) or compatible with all types of software. Paribu Biletleme disclaims all liability for any damages arising from the access to or use of Paribu Pass. Users acknowledge that access to and use of Paribu Pass is at their own risk, and that they shall be solely responsible for any damage to their information systems or assets, or for any loss of data resulting from such access or use.
It is hereby notified that Paribu Pass and/or Paribu Biletleme shall not be held liable, directly or indirectly, for any loss, damage, expense, or other claims arising from the acts of third parties, including but not limited to Users, organizers, advertisers, and sponsors. Paribu Pass and/or Paribu Biletleme shall not be responsible for any damage to computer hardware or other assets resulting from the access to or use of Paribu Pass, or the downloading of any audio, visual, or textual information and documents from Paribu Pass. The risk associated with using Paribu Pass and uploading data rests solely with the Visitor; Users bear full responsibility for providing, maintaining, and updating all software and hardware requirements necessary to prevent malicious codes or materials, ensure the accuracy of data input/output, or recover any lost data.
Users are responsible for procuring, maintaining, and paying for all hardware, telecommunications, and other services required to use Paribu Pass.
Users acknowledge and undertake that communications made through the communication tools provided via Paribu Pass shall be used exclusively for lawful purposes. These tools must not be used beyond the intended purpose of Paribu Pass, such as for the sale of products or services, sending unsolicited emails (spam), distributing files that may damage software or computer systems, or disseminating content that is insulting to other Users, infringes upon personal rights, or is otherwise unlawful. Users warrant that they hold the necessary rights to engage in any communication they perform via Paribu Pass. Paribu Biletleme assumes no responsibility to monitor the appropriateness or legality of communications conducted through Paribu Pass. Paribu Biletleme may, at its sole discretion, remove the communication tools it provides at any time.
The accuracy, adequacy, and/or currency of the information/content on Paribu Pass is not guaranteed by Paribu Biletleme. Users acknowledge that they shall personally conduct the necessary research and verification when using such information. Within the scope of access to and use of Paribu Pass, the following actions are strictly prohibited:
Violating any applicable law, international treaty, or the laws of any other state in any manner;
Using Paribu Pass for any fraudulent, otherwise unfair, or illegal purpose;
Continuing to use Paribu Pass despite the occurrence of any reason that revokes the authorization to use Paribu Pass;
Attempting to gain unauthorized access to Paribu Pass;
Conducting vulnerability assessments or similar testing on Paribu Pass;
Collecting or attempting to collect information about other Users of Paribu Pass;
Interfering with or disrupting the operation of Paribu Pass or the servers and networks used to make Paribu Pass available, including hacking or defacing any part of Paribu Pass, or violating any requirements, procedures, or policies of such servers/networks;
Restricting or inhibiting any other person from using Paribu Pass;
Reproducing, modifying, adapting, creating derivative works of, selling, renting, leasing, or otherwise exploiting any part of Paribu Pass (or any use thereof) without the express authorization of Paribu Biletleme;
Reverse engineering, decompiling, or disassembling any part of Paribu Pass;
Engaging in conduct that infringes upon any copyright, trademark, or other proprietary rights;
Utilizing Paribu Pass or its content to develop a product or service that serves the same or similar purpose as Paribu Pass or otherwise competes with it.
INTELLECTUAL PROPERTY
All registered or unregistered intellectual property rights, including but not limited to titles, business names, trademarks, patents, logos, designs, information, and know-hows available on Paribu Pass, belong to Paribu Biletleme and its contracted third parties, and are protected under national and international law. The downloading or use of Paribu Pass does not grant any rights or titles regarding the aforementioned intellectual property rights.
The content available on Paribu Pass or within the software may not be modified, copied, presented, processed, deleted, distributed, transferred, or subjected to any use or exploitation that exceeds personal and ordinary/legitimate utilization, nor shall it be subject to unfair competition, whether in whole or in part. Numbers or codes representing the content and software of Paribu Pass may not be interfered with, removed, or altered; they may not be converted into source code and/or object code, nor may they be reverse-engineered.
Paribu Pass may contain content (works, books, designs, photographs, texts, videos, information, comments, opinions, news, images, pictures, trademarks, logos, figures, graphics, other elements, and database contents) belonging to Paribu Biletleme and/or third-party individuals or entities, all of which are protected under intellectual property law and other legal regulations. Accordingly, Users possess no rights or authorities regarding these contents, except for the exceptions expressly stipulated in legal regulations. It must be strictly noted that intellectual property rights hold a significant place within the scope of Paribu Pass's content; any infringement thereof constitutes a severe violation of the rights of not only Paribu Biletleme but also other right holders such as authors, publishers, and designers, and shall entail legal and criminal liability toward Paribu Biletleme and other respective right holders.
Save for legal usage exceptions, Users are deemed to have acknowledged and undertaken that any use of the content on Paribu Pass (including any modification, reproduction, copying, downloading, uploading, processing, adapting, disseminating, publishing, communicating to the public, performing, and any other form of use or interference) without the prior written consent of, and without a contract executed with, Paribu Biletleme and/or third-party right holders of works, productions, publications, designs, trademarks, patents, and other intellectual property protections, in accordance with the conditions prescribed by law, is unlawful and constitutes a criminal offense. Users agree to strictly refrain from such actions and shall not engage in any transaction or act that constitutes an infringement of intellectual property rights, competition, and/or unfair competition through any means whatsoever.
The use of the design, source codes, interface, content, or database of Paribu Pass, whether in its original form, modified, or altered, in whole or in part, is strictly prohibited.
CONFIDENTIALITY
Any and all information and documents available on Paribu Pass, including but not limited to administrative, legal, design, and technical information, trade secrets, ideas, software, algorithms, models, systems, solutions, commercial, financial, managerial, organizational, and legal information, and inventions owned by Paribu Biletleme, shall be deemed “Confidential Information.”
Users shall exercise at least the same degree of care and diligence to protect Confidential Information as they exercise to protect their own information of a similarly sensitive and confidential nature.
Users shall be liable to compensate for any and all loss and damage that may arise in the event that they—or their personnel, in the case of a legal entity—violate any of the obligations regarding the disclosure of Confidential Information obtained from Paribu Pass.
The Visitor shall, immediately upon becoming aware that Confidential Information has been disclosed or used in violation of these Terms and Conditions, exert their best efforts to prevent further disclosure and use of such information.
In such an event, the Visitor shall promptly notify Paribu Biletleme in writing of the existing circumstances and shall implement all corrective measures requested by Paribu Biletleme.
The Visitor shall be held liable for any loss or damage occurring to the devices, equipment, personnel of Paribu Biletleme, and/or third parties as a result of the use of Confidential Information.
The Visitor hereby irrevocably acknowledges and undertakes that they shall not share any competitively sensitive information with third parties in any manner within the scope of Paribu Pass; otherwise, they shall indemnify Paribu Biletleme, in cash and in a single payment, for any concrete and provable damages incurred for any reason.
Paribu Biletleme is the sole owner of the Confidential Information. No rights or licenses are granted or transferred regarding any intellectual or industrial property rights, existing or future patents, copyrights, know-how, drawings, plans, ideas, or techniques disclosed on Paribu Pass. No representation, warranty, undertaking, or inducement is provided by Paribu Biletleme to any person regarding any information disclosed on Paribu Pass as to the non-infringement of patents or other rights of third parties.
Nothing contained in these Terms and Conditions shall be construed as granting, expressly or by implication, any right in relation to any invention or discovery, or any patent covering such invention or discovery, or any copyright, privilege, trademark, or trade secret.
MISCELLANEOUS PROVISIONS
Within this scope, Users may submit their applications regarding any dispute to the Consumer Court or the Consumer Arbitration Committee; and for any disputes arising from the implementation of these Terms and Conditions, the Istanbul (Central) Courts and Execution Offices shall have exclusive jurisdiction.
Note: This Terms and Conditions governed by the laws of the Republic of Turkey. In the event of any conflict or discrepancy between this English translation and the Turkish original, the Turkish text shall prevail.
